(NDA)<\/strong>, is a contract by which a party receiving information from another party agrees to keep such information confidential.<\/p>\n\n\n\n<p>By signing a <a href=\"https:\/\/zegal.com\/en-au\/non-disclosure-agreement\/\" class=\"ek-link\">Non-Disclosure Agreement (NDA)<\/a>, the party receiving information agrees not to disclose, use or exploit confidential information, except in agreed circumstances or with the consent of the other party.&nbsp;<\/p>\n\n\n\n<p>It\u2019s also sometimes less commonly referred to as a Confidentiality Agreement. This is actually the British term for an NDA but the US English appears to have won out on this one and you\u2019ll most likely hear or call them NDAs!<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"How_to_sign_an_NDA\"><\/span>How to sign an NDA<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Step_1_This_NDA_checklist_will_help_you_decide_what_you_what_to_include\"><\/span>Step 1: This NDA checklist will help you decide what you what to include&nbsp;&nbsp;<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li> <strong>Licenses<\/strong>: Are any licenses to use the material prohibited?.<\/li>\n\n\n\n<li><strong>Third parties:  <\/strong>If there are any instances when disclosure of the information to third parties, such as subcontractors is permissible.&nbsp;<\/li>\n\n\n\n<li><strong> Return of Documents: <\/strong>To identify if a return of confidential information needs to happen at the end of a project or employment.<\/li>\n\n\n\n<li><strong>Jurisdiction:  <\/strong>If the businesses are in different countries, does the contract have a choice of law clause and jurisdiction in the event of a breach of contract? Also, where will the dispute resolution happen?<\/li>\n\n\n\n<li><strong>Intellectual Property<\/strong>:  You can include details on intellectual property rights in an NDA.<\/li>\n\n\n\n<li><strong>Non-compete clauses<\/strong>: You can stipulate whether another may not take a job competing within a certain time frame.&nbsp;<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Step_2_Decide_who_is_signing_how_long_it_should_last_for_and_importantly_why_youre_creating_it\"><\/span>Step 2: Decide who is signing, how long it should last for and, importantly, why you&#8217;re creating it.&nbsp;<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>You need to include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Information about the parties:<\/strong> this includes the name of the parties who share and receive the information.<\/li>\n\n\n\n<li><strong>The time period for confidentiality:<\/strong> this includes the time frame for maintaining confidentiality through NDA.<\/li>\n\n\n\n<li><strong>Definition of confidential information:<\/strong> an organization has to deal with a large chunk of data. So, it is very crucial to distinguish those data from the level of importance.
