href=\"https:\/\/zegal.com\/en-au\/director-resignation-letter\/\" rel=\"noreferrer noopener\">resignation<\/a>.<\/p>\n\n\n\n<p>Once appointed, the board will send a&nbsp;<a target=\"_blank\" href=\"https:\/\/zegal.com\/en-au\/directors-appointment-letter\/\" rel=\"noreferrer noopener\">Director\u2019s Appointment Letter<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-how-do-you-appoint-a-new-director\"><span class=\"ez-toc-section\" id=\"How_do_you_appoint_a_new_director\"><\/span>How do you appoint a new director?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Generally, a new director must be appointed by the&nbsp;<a target=\"_blank\" href=\"https:\/\/zegal.com\/en-au\/shareholders-agreement\/\" rel=\"noreferrer noopener\">shareholders of a company<\/a>.<\/p>\n\n\n\n<p>A new director may be appointed by the board of directors using a&nbsp;<strong>Directors\u2019 Resolution to Appoint Director(s) and\/or Acknowledge Resignation of Director(s)<\/strong>, subject to re-appointment by shareholders at the next general meeting.<\/p>\n\n\n\n<p><strong>Important note<\/strong>: Typically, the&nbsp;<a target=\"_blank\" href=\"https:\/\/zegal.com\/en-au\/shareholders-resolution-to-alter-articles-of-association\/\" rel=\"noreferrer noopener\">Articles of Association<\/a>&nbsp;of a company provide that a director appointed by the board must retire by the next&nbsp;<a target=\"_blank\" href=\"https:\/\/zegal.com\/notice-general-meeting\/\" rel=\"noreferrer noopener\">general meeting<\/a>.<\/p>\n\n\n\n<p>There are two options when using a&nbsp;<strong>Directors\u2019 Resolution to Appoint Director(s) and\/or Acknowledge the Resignation of Director(s)<\/strong>:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>If a meeting of the board of directors is convened to pass this resolution, use a&nbsp;<strong>Board Minutes to Appoint Director(s) and\/or Acknowledge Resignation of Director(s)<\/strong>; or<\/li>\n\n\n\n<li>If the board resolution is passed by way of a written resolution, use a&nbsp;<strong>Board Resolution to Appoint Director(s) and\/or Acknowledge the Resignation of Director(s)<\/strong>.<\/li>\n\n\n\n<li><\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-can-a-director-s-resignation-be-refused\"><span class=\"ez-toc-section\" id=\"Can_a_Directors_resignation_be_refused\"><\/span>Can a Director\u2019s resignation be refused?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>If a director truly intends to leave or resign, they can only be  forced to stay if there is a company legality that prevents it.<\/p>\n\n\n\n<p>Read through the company\u2019s legal policies before resigning so there is no breach of contractual obligations.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-key-points-to-include\"><span class=\"ez-toc-section\" id=\"Key_points_to_include\"><\/span>Key points the&nbsp;<a target=\"_blank\" href=\"https:\/\/zegal.com\/en-au\/director-resignation-letter\/\" rel=\"noreferrer noopener\">director\u2019s letter of resignation<\/a>; and<\/li>\n\n\n\n<li>Whether
