Lost in the excitement of discussing the endless possibilities arising from this relationship, both you and the candidate verbally agree to an employment contract. Only later do you realise in abject horror: Not a single thing agreed to was written down<\/i><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Fear not, in Hong Kong,<\/span><b> verbal employment agreements are legal<\/b><span style=\"font-weight: 400;\"> under the Employment Ordinance (Cap. 57). Before you start wracking your brain trying to recall that one instance twenty years ago where a verbal agreement may or may not have been made, know that just like any other contract, verbal<a href=\"https:\/\/zegal.com\/employment-contract\/\"> employment agreements<\/a> are specifically defined and have requirements that need to be met in order to be legal and enforceable.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_is_a_verbal_employment_agreement\"><\/span><span style=\"font-size: 14pt;\"><b>What is a verbal employment agreement?<\/b><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">The <a href=\"https:\/\/zegal.com\/blog\/post\/employment-ordinance-in-hong-kong\/\">Employment Ordinance<\/a> \u00a0defines a verbal employment agreement as a\u00a0contract of employment (<\/span><span style=\"font-weight: 400;\">\u50f1\u50ad\u5408\u7d04<\/span><span style=\"font-weight: 400;\">), whereby one person agrees to employ another and that other agrees to serve his employer as an employee. This also includes contracts of apprenticeship. The agreement<\/span><b>\u00a0can be in writing, or oral<\/b><span style=\"font-weight: 400;\">. It can also be express or implied, implied meaning certain terms were not orally mentioned or written down, but are incorporated in the agreement according to the law, or inferred from previous dealings between the employer and the employee. It\u2019s wise to keep that last point in mind.<\/span><\/p>\n<p><a href=\"https:\/\/zegal.com\/offer-of-employment-letter\/\">DOCUMENT: Offer of Employment Letter<\/a><\/p>\n<p><span style=\"font-weight: 400;\">An employment agreement would likely have numerous terms within it whether in writing or oral, including but not limited to, health insurance policies, sick days and leave, employee responsibilities and the amount and type of compensation.\u00a0<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_are_the_minimum_requirements_of_a_verbal_employment_contract\"><\/span><span style=\"font-size: 14pt;\"><b>What are the minimum requirements of a verbal employment contract?<\/b><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">They are essentially comprised of the same\u00a0<\/span><span style=\"font-size: inherit;\">legal requirements regarding any other legally binding contract. For good measure, here&#8217;s a refresher on the elements of a contract:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\"><b>Intention to create legal relations<\/b><span style=\"font-weight: 400;\">: Both parties are presumed to intend to create a legally binding contract. This applies to verbal employment contracts too. The verbal exchange between parties cannot be a mere discussion. <\/span><i><span style=\"font-weight: 400;\">Both<\/span><\/i><span style=\"font-weight: 400;\"> parties must intend to a create a legal relationship. This may be slightly trickier to show in verbal agreements if there is no express agreement. Written agreements on the other hand, will likely have clauses such as &#8220;without prejudice\u201d that indicate intention to create a legal contract.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><b>A valid offer<\/b><span style=\"font-weight: 400;\">: A valid offer is an expression of willingness to contract on certain terms with the intention that the contract will be legally binding if accepted. If the expression made was merely an <\/span><strong>invitation<\/strong><span style=\"font-weight: 400;\"> to make an offer, or the offer has already been <\/span><strong>rejected<\/strong><span style=\"font-weight: 400;\"> before, the offer will no longer be valid.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><b>A valid acceptance<\/b><span style=\"font-weight: 400;\">: The person who received the valid offer <\/span><b>must<\/b><span style=\"font-weight: 400;\"> accept the offer on the <\/span><b>exact<\/b><span style=\"font-weight: 400;\"> terms they were made. This can\u00a0either in writing or be done orally. This point is of particular importance when it comes to verbal employment agreements because of the ease of conversational flow.\u00a0Any further haggling, waffling, or uncertainty are likely counter-offers and won\u2019t constitute valid acceptance.<\/span><\/li>\n<li style=\"font-weight: 400;\"><b>Consideration<\/b><span style=\"font-weight: 400;\">: There must be an exchange of promises between the parties. In the case of employment, an employer is giving something to an employee in return for the provision of their service. The \u2019something\u2019 must be measurable in economic terms. One dollar is sufficient. The promise of &#8220;personal satisfaction&#8221; while working is not. Beware, this exchange goes both ways: The employee must also promise to provide something to the employer that is measurable in economic terms.<\/span><\/li>\n<li style=\"font-weight: 400;\"><b>Capacity to enter into a contract<\/b><span style=\"font-weight: 400;\">: Generally speaking this prohibits minors, intoxicated persons, and those with serious mental and cognitive disabilities.<\/span><\/li>\n<\/ol>\n<h2><span class=\"ez-toc-section\" id=\"Verbal_Employment_Agreements_versus_Written_Employment_Agreements\"><\/span><span style=\"font-size: 14pt;\"><b>Verbal Employment Agreements versus Written Employment Agreements\u00a0<\/b><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">In a pinch, a valid verbal employment agre<\/span><span style=\"font-size: inherit;\">ement will suffice. It might also be handy and convenient for an employment relationship that is short term, or if the contract itself is not of particular importance or value. What if that is not the case? Ideally, both the employer and the employee would perform the contract in its entirely and to the exact tune of the terms. That\u2019s not always how things work out, and here lies the greatest deficiency of the casual verbal employment agreement. The contract has to be <\/span><strong>enforceable<\/strong><span style=\"font-weight: 400;\"> if disputes between the employer and employee arise. You can easily determine what has been agreed to on a written employment agreement as the terms are right there in black and white. Ascertaining the terms within a verbal agreement, or even its very existence, may rest on the witnesses present during the agreement, and circumstances and actions by parties surrounding the agreement.\u00a0Verbal employment agreements are <\/span><strong>risky<\/strong><span style=\"font-weight: 400;\">. There are numerous reasons why written contracts are better, but the overriding advantage over a verbal one is abundantly clear. When things go awry, a written employment agreement will almost always be easier to enforce that a verbal one.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Valid verbal employment contracts are legal in Hong Kong. However, save everyone the trouble and write it down on paper.
