<\/span>What is an Option Agreement?<\/span><\/h2>\n\n\n\n

An Option Agreement<\/strong> is a contract by which a company gives a buyer an option to buy new shares in the future.<\/p>\n\n\n\n

An Option Agreement<\/strong> specifies the type and number of shares to be issued to the buyer, the exercise period, the exercise price, and any condition to be fulfilled before it can be exercised. Under an Option Agreement<\/strong>, shares are issued to the purchaser when they exercise the option and pay the exercise price. This is also known as \u201cforward vesting\u201d, which is contrary to \u201creverse vesting\u201d under a Share Vesting Agreement<\/a>.<\/p>\n\n\n\n

<\/span>What is an Option?<\/span><\/h2>\n\n\n\n

An \u201coption\u201d is a right (but not an obligation) to buy shares at a future date at a predetermined price. Under an Option Agreement, the buyer does not receive any shares until the option is exercised. This mechanism is commonly known as \u201cforward vesting\u201d, as opposed to giving shares to the buyer upfront subject to the company\u2019s right to buy back under a Share Vesting Agreement, which is known as \u201creverse vesting\u201d.<\/p>\n\n\n\n

The Option Agreement is for a \u201csingle grant\u201d, i.e., the company is giving this option to this specific buyer on these specific terms. If you intend to give options to a number of your employees or persons who provide services to you, you should use a Share Option Plan instead.<\/p>\n\n\n\n

<\/span>Key terms explained<\/span><\/h2>\n\n\n\n

\u201cOption Shares<\/strong>\u201d means the shares that will be issued to the buyer when the option is exercised. In the Zegal app, you can choose to input a fixed number of shares or a percentage i.e. when new shares are issued, what per cent will these shares represent in the then entire issued share capital of the company?<\/p>\n\n\n\n

You should note that this \u201ctotal issued share capital\u201d is calculated on a fully diluted basis, i.e. all outstanding convertible instruments, notes, and warrants are assumed to be fully converted.<\/p>\n\n\n\n

\u201cExercise Period<\/strong>\u201d means the period during which the option can be exercised. In the Zegal app, you will input the start date and the end date for this period. You can also add conditions to the exercise of option, i.e. those conditions that need to be fulfilled before the option can be exercised. In the Zegal app, you can specify that the condition is to achieve funding of a target amount (called a \u201cTarget Funding\u201d in the document) or you can input any other conditions that apply in your case.<\/p>\n\n\n\n

\u201cOption Purchase Price<\/strong>\u201d means the price to be paid by the buyer for this option. It is different from \u201cexercise price\u201d. This price should be paid at the same time as the Option Agreement<\/strong> is signed.<\/p>\n\n\n\n

\u201cExercise Price<\/strong>\u201d means the price per share to be paid when the option is exercised. In the Zegal app, the exercise price can be either a fixed amount or a price that is determined by dividing an agreed valuation by the number of issued shares in the company.<\/p>\n\n\n\n

<\/span>How to create a share option?<\/span><\/h2>\n\n\n\n

Step 1:<\/strong> Create an Option Agreement <\/strong>on the Zegal app.<\/p>\n\n\n\n

Step 2:<\/strong> Check your constitutional document or consult your company secretary to confirm how to approve the execution of the Option Agreement <\/strong>(typically the issue of option needs to be approved by shareholders of the company).<\/p>\n\n\n\n

Step 3:<\/strong> Execute the Option Agreement<\/strong>; at the same time, the buyer should pay the purchase price for the option to the company.<\/p>\n\n\n\n

Step 4:<\/strong> During the exercise period, provided that the conditions (if any) have been fulfilled, the buyer can exercise the option by giving the company an Exercise Notice.<\/p>\n\n\n\n

Step 5:<\/strong> On the date specified in the Exercise Notice as the completion date:<\/p>\n\n\n\n

(i) the buyer will pay the exercise price to the company;<\/p>\n\n\n\n

(ii) the board of directors of the company will by resolution approve the issue of new shares to the buyer and other related matters; and<\/p>\n\n\n\n

(iii) the company will issue a new Share Certificate<\/strong> to the buyer.<\/p>\n\n\n\n

<\/span>What are the components of an Option Agreement?<\/span><\/h2>\n\n\n\n

These are the various components of an option agreement. Option Shares:<\/strong> Shares that will be issued to the buyer when the option is exercised. you can choose to input a fixed number of shares or a percentage i.e. when new shares are issued, what percent will these shares represent in the then entire issued share capital of the company?<\/p>\n\n\n\n

  • Within how long after the exercise of option completion will take place.<\/li>\n<\/ul>\n\n\n\n

    <\/span>Types of Option Contracts<\/span><\/h2>\n\n\n\n

    There are mainly two types of options contracts: calls, and puts. <\/p>\n\n\n\n

    Call Options provides the buyer with the right to purchase an underlying asset at the set price mentioned in the option contract. However, it is not an obligation to the buyer. On the other hand, Put Options provide buyers with a right to sell an underlying asset at the option strike price.<\/p>\n\n\n\n
