However, a new director may also be appointed by the&nbsp;<a href=\"https:\/\/zegal.com\/en-gb\/use-case\/set-up-your-board-of-directors\/\" target=\"_blank\" aria-label=\" (opens in a new tab)\" rel=\"noreferrer noopener\" class=\"ek-link\">board of directors<\/a>&nbsp;using a Directors\u2019 Resolution to Appoint Director(s) and\/or acknowledge the&nbsp;<a href=\"https:\/\/zegal.com\/en-gb\/director-resignation-letter\/\" target=\"_blank\" aria-label=\" (opens in a new tab)\" rel=\"noreferrer noopener\" class=\"ek-link\">Resignation of Director<\/a>(s), subject to re-appointment by shareholders at the next&nbsp;<a href=\"https:\/\/zegal.com\/notice-general-meeting\/\" target=\"_blank\" rel=\"noreferrer noopener\">general meeting<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-who-can-be-a-company-director\"><span class=\"ez-toc-section\" id=\"Who_can_be_a_company_director\"><\/span>Who can be a company director?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Almost anyone can be a director. The appointment has a few limitations, making company formation an available option for many people. An individual can be appointed if they are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>At least 16 years old<\/li>\n\n\n\n<li>Not disqualified to be a director<\/li>\n\n\n\n<li>Not subject to an undischarged bankruptcy<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-who-cannot-be-a-company-director\"><span class=\"ez-toc-section\" id=\"Who_cannot_be_a_company_director\"><\/span>Who cannot be a company director?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A person with an undischarged bankruptcy cannot be a company director unless allowed by the court until a court discharges the person from bankruptcy.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-who-appoints-directors\"><span class=\"ez-toc-section\" id=\"Who_appoints_directors\"><\/span>Who appoints directors?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Generally, the directors are appointed by the shareholders of a company at the&nbsp;<a href=\"\/notice-general-meeting\/\" target=\"_blank\" aria-label=\" (opens in a new tab)\" rel=\"noreferrer noopener\" class=\"ek-link\">Annual General Meeting (AGM)<\/a>&nbsp;or rarely at an Extraordinary General Meeting (EGM).<\/p>\n\n\n\n<p>The decision for the appointment is made through a vote and passed if a majority of shareholders vote in favour.<\/p>\n\n\n\n<p>According to the articles of association, the number of directors may be limited. If so a new director may be appointed only if a vacancy arises. Once a new director is appointed, the company must announce it to the Companies House within 14 days.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-who-can-remove-directors\"><span class=\"ez-toc-section\" id=\"Who_can_remove_directors\"><\/span>Who can remove directors?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>As the shareholders have the authority to appoint a director, they can remove one.<\/p>\n\n\n\n<p>A director can be removed by 50% at a meeting of the shareholders for any reason.
