Your application must first be submitted via electronic means or in hard copy before the registration of your company can be approved.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The very first step (and an exciting way to begin!) is to choose the <\/span><b>type and name of your company<\/b><span style=\"font-weight: 400;\">. In Hong Kong, there are 2 types of companies:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company limited by shares<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company limited by guarantee\u00a0<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The name of your company must be in compliance with the <\/span><a href=\"https:\/\/www.cr.gov.hk\/en\/companies_ordinance\/docs\/Guide_RegCompName-e.pdf\"><b>Guideline on Registration of Company Names for Hong Kong Companies<\/b><\/a><span style=\"font-weight: 400;\">. Additionally, the company name must not:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Appear on Hong Kong\u2019s Cyber Search Centre or Company Search Mobile Service\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Infringe the intellectual property rights (IPR) of a third party\u00a0<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Next, it is the delivery of the application &#8211; either electronically or in hard copy. If the application is unsuccessful, a refund of HKD$1,425 may be made. The registration fee for a 1-year certificate is HKD$250 while a 3-year certificate is HKD$3,950.<\/span><\/p>\n<p><strong>\u00a0<\/strong>In order to file for incorporation, you will need to submit the following documents:<\/p>\n<ul>\n<li>An\u00a0<a href=\"http:\/\/www.cr.gov.hk\/en\/forms\/specified.htm\">Incorporation Form<\/a> signed by the founding member(s) \u2013 Form NNC1 (for a company limited by shares) or Form NNC1G (for a company not limited by shares);<\/li>\n<li>A copy of the <a href=\"https:\/\/zegal.com\/company-incorporation\/\">Articles of Association<\/a> (AA);<\/li>\n<li>A Notice to Business Registration Office (<a href=\"http:\/\/www.cr.gov.hk\/en\/forms\/specified.htm\">IRBR1<\/a>).<\/li>\n<\/ul>\n<p>These documents can be submitted with the relevant fees either in hard copy at the Queensway Government Offices or online Companies Registry at the\u00a0<a href=\"http:\/\/www.eregistry.gov.hk\/\">e-Registry<\/a>\u00a0portal.<strong>\u00a0<\/strong><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Incorporating_a_non-Hong_Kong_company\"><\/span>Incorporating a non-Hong Kong company?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">A non-Hong Kong company is a company that is incorporated outside of Hong Kong but has an established place of business in Hong Kong. It is compulsory to apply for registration as a non-Hong Kong company within a month of its establishment as a place of business in Hong Kong.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Documents required for submission: (either electronically or in hardcopy)<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><a href=\"https:\/\/www.cr.gov.hk\/en\/electronic\/docs\/e-Reg_NonHK_faqs-e.pdf\"><span style=\"font-weight: 400;\">Form NN1\u00a0<\/span><\/a><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A certified copy of the instrument defining the company\u2019s constitution (e.g. charter, statutes or memorandum &amp; articles of association)<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A certified copy of the company\u2019s latest published accounts<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A Notice to Business Registration Office (Form IRBR2)<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The approval upon submission of the correct and completed forms along with the registration fees will take approximately <\/span><b>10 working days<\/b><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p>Upon filing these documents and successful approval, you will be issued a Certificate of Incorporation (or the Certificate of Registration of Non-Hong Kong Company) and Business Registration Certificate in electronic form for online applications and in hard copy for hard copy applications. It is compulsory to display the Business Registration Certificate at the place of business.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Hong Kong allows for a simultaneous application for business registrations together with the application for company incorporations. The additional business registration fee of HKD$2,000 (1-year certificate) or HKD$2,500 (3-year certificate) must be made together with\u00a0 these documents:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A Notice to Business Registration Office (IRBR1)<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Levy to the Protection of Wages on Insolvency Fund (1-year Certificate, HKD$250 or 3-year Certificate, HKD$750)<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">If the simultaneous business registration is done electronically, it would take <\/span><b>an hour<\/b><span style=\"font-weight: 400;\"> or <\/span><b>4 working days<\/b><span style=\"font-weight: 400;\"> for hard copies.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">If it is a separate business registration, it can only be done in hard copy and it would take <\/span><b>30 minutes <\/b><span style=\"font-weight: 400;\">in person or <\/span><b>2 working days <\/b><span style=\"font-weight: 400;\">by post.\u00a0<\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"Annual_filing\"><\/span>Annual filing<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"font-weight: 400;\">All Hong Kong-based companies must meet annual filing requirements with the Inland Revenue Department (IRD) and Companies Registry, once every calendar year.<\/span><\/p>\n<p>Your company will need to comply with annual filing requirements and deadlines administered by the Companies Registry and the\u00a0<a href=\"http:\/\/www.ird.gov.hk\/eng\/welcome.htm\">Inland Revenue Department<\/a>\u00a0(IRD). This may include the following:<\/p>\n<ul>\n<li>An Annual Return filed with the Companies Registry once, every calendar year (except in the year of incorporation);<\/li>\n<li>Additional statutory documents in addition to the Annual Returns, as required under the Companies Ordinance (CO). However, this requirement may be exempted in some cases and the documents can be signed at one of the bank\u2019s overseas branches in the presence of a witness should a key party not be able to be present.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Apply_for_the_relevant_licenses_permits\"><\/span>Apply for the relevant licenses &amp; permits<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>In order to commence business operations in Hong Kong, you may require particular government licenses, permits, certificates, or approvals. If you have already submitted a license application, you can track the status of your application on this site.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"Accounting\"><\/span>Accounting<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"font-weight: 400;\">The Hong Kong Institute of Certified Public Accountants (HKICPA) issues official standards relating to accounting and auditing practices. The Hong Kong law requires all Hong Kong-incorporated companies to prepare audited financial statements. All private companies must keep and maintain proper books of account. Companies must also file annual returns specifying directors, members, and the location of a registered office.\u00a0<\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"Annual_General_Meeting\"><\/span>Annual General Meeting<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"font-weight: 400;\">All companies must convene their annual general meeting in respect of each financial year of the company, as opposed to every calendar year. <\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"Fulfill_your_obligations_under_the_MPF_system\"><\/span>Fulfill your obligations under the MPF system<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>As a business employing staff, whether full-time or part-time, you must enroll your employees aged 18 to below 65 in a Mandatory Provident Fund (MPF) scheme. You may select from one of the schemes under the MPF system and should consider factors such as the types of constituent funds available and the fees and charges payable under the scheme.
