Importantly, before the conversion takes place, the convertible note is a debt of the company. Basically, this means it has a due date on which the debt has to be repaid. This is called the \u201cmaturity date\u201d. Interest accrues during the period that the debt is outstanding.<\/p>\n\n\n\n<p>In a nutshell, a convertible note entitles its holder to convert the money paid for the notes into equity of the company at a discounted price. After the conversion, the holder of the convertible notes will become a shareholder of the company.&nbsp;<\/p>\n\n\n\n<p>Essentially, these can offer both the business and seed investors leverage in pursuing major fundraising benefits.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-how-to-do-it\"><span class=\"ez-toc-section\" id=\"How_to_do_it\"><\/span>How to do it<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-step-1-shareholder-approval\"><span class=\"ez-toc-section\" id=\"Step_1_Shareholder_approval\"><\/span>Step 1: Shareholder approval<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Issuing a convertible note requires approval by the shareholders of the company. You do this through a&nbsp; <a href=\"https:\/\/zegal.com\/en-hk\/shareholders-resolution-to-issue-convertible-notes\/\"><strong>Shareholder Resolution to Issue Convertible Notes<\/strong><\/a>. You should also prepare (or instruct your company secretary to prepare) the relevant minutes for the shareholder&#8217;s meeting approving the creation and issue of the convertible note.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-step-2-create-a-term-sheet\"><span class=\"ez-toc-section\" id=\"Step_2_Create_a_Term_Sheet\"><\/span>Step 2: Create a Term Sheet<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>A<a href=\"https:\/\/zegal.com\/en-hk\/convertible-note-term-sheet\/\"> <strong>term sheet<\/strong><\/a> is a non-binding record of the major terms discussed between the company and the investor. You may create a term sheet for a convertible note to facilitate discussion. However, it is not absolutely necessary. This only sets out the principal amount.
