Read on for details on Thailand\u2019s requirements, procedures, and the estimated timeline to register a company.\u00a0<\/span><\/p>\n<p>Zegal: FREE COMPANY INCORPORATION<\/p>\n<h4><b>Minimum Setup Requirements to Register a Company in Thailand<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">There are various business structures to consider for incorporation in Thailand.\u00a0<\/span><\/p>\n<h5><strong>Director Requirements:<\/strong><\/h5>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Private Limited Company: at least 1\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Public Limited Company: at least 5, with majority residing in Thailand\u00a0<\/span><\/li>\n<\/ul>\n<h5><strong>Nationality\/Residency of Officeholders Requirements:<\/strong><\/h5>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Private Limited Company: no requirements unless required internally<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Public Limited Company: majority of directors must reside in Thailand. No requirements for shareholders<\/span><\/li>\n<\/ul>\n<h5><strong>Minimum Capital Requirements:<\/strong><\/h5>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Private Limited Company: minimum of 15 Baht<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Public Limited Company: no minimum\u00a0<\/span><\/li>\n<\/ul>\n<h5><strong>Shareholder Requirements:<\/strong><\/h5>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Private Limited Company: at least 3<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Public Limited Company: at least 15\u00a0\u00a0<\/span><\/li>\n<\/ul>\n<h4><b>Registration Timeline\u00a0<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">The business incorporation process is pretty straightforward in Thailand. With the correct paperwork and information required on standby, the entire incorporation process should take around <\/span><b>14 working days<\/b><span style=\"font-weight: 400;\">.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The place for registration depends on the place of business. More information can be found <\/span><a href=\"https:\/\/www.dbd.go.th\/dbdweb_en\/ewt_news.php?nid=3974&amp;filename=index\"><span style=\"font-weight: 400;\">here<\/span><\/a><span style=\"font-weight: 400;\">. The registration process must be completed within 30 days prior to the first day of business of the company.\u00a0<\/span><\/p>\n<h4><b>Step 1: Reserve a Company Name\u00a0<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">To reserve a company name, it is important to have <\/span><b>3 company names<\/b><span style=\"font-weight: 400;\"> on standby and it is advisable to rank them in order of preference. The proposed names will be checked against Thailand\u2019s company name requirements (thus, the need for preparing 3 names). <\/span><\/p>\n<p><span style=\"font-weight: 400;\">The company name must be registered in Thai officially.\u00a0<\/span><\/p>\n<h5><strong>Company Name Requirements:<\/strong><\/h5>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Must not be identical to\/ resemble any pre-existing registered business name<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Must not contain words that are prohibited from being used within the company name (e.g. investment)\u00a0<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">If the above requirements are met, the company name can be officially registered with the <\/span><a href=\"https:\/\/www.dbd.go.th\/more_news.php?cid=2\"><span style=\"font-weight: 400;\">Department of Business Registration<\/span><\/a><span style=\"font-weight: 400;\">. The approval will take approximately <\/span><b>3 working days<\/b><span style=\"font-weight: 400;\"> before you get your company name registered.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">*From the date of company name registration, all other steps for business registration must be completed within 30 days.\u00a0<\/span><\/p>\n<h4><b>Step 2: File a Memorandum of Association (MOA)\u00a0<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">The MOA is a special agreement involving the founders of the company and it must be filed with the Business Development Office located at the Ministry of Commerce. <\/span><span style=\"font-weight: 400;\"><br \/><\/span><\/p>\n<p><span style=\"font-weight: 400;\">MOA Requirements:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Approved name of proposed company\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Address of the registered office\/ place of business\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Objectives of company<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Declaration of limited liabilities of the shareholders\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Declaration of the amount of share capital being registered\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Names, addresses, occupations, and signatures of at least 3 promoters of the company\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The number of shares subscribed to each promoter<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Once the MOA is submitted and approved, the Business Development Office will issue the Company Affidavit (a written statement of approval).\u00a0<\/span><\/p>\n<h4><b>Step 3: Convene a Statutory Meeting<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">A meeting must be held with the company\u2019s directors, shareholders and required other officeholders in attendance.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The meeting must conclude with the share structure, an appointed auditor and the Board of Directors. The Articles of Association must also be written and passed. Remuneration to promoters, number and type of shares must also be decided on.\u00a0<\/span><\/p>\n<h4><b>Step 4: Company Registration<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">The application for company formation must be completed and submitted to the Ministry of Commerce. This application can be submitted on the same day as the MOA submission (only if Step 3 has been completed beforehand).\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This application for registration must be lodged within 3 months from the date of the statutory meeting for it to be valid.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The application will require details such as:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Total number of shares subscribed or allotted\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Number of ordinary or preference shares allotted\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The monetary amount received for the shares\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Personal details of the directors (as well as the details of the Power of Attorney if there is a need for it)\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Registered address for the place of business or any branch offices\u2019 addresses<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The application must be declared to be true and correct by the director of the company.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The <\/span><b>cost<\/b><span style=\"font-weight: 400;\"> of registering the company depends on the amount of registered capital for the company. In general, the cost is in increments of 500 Baht for every 100,000 Baht of registered capital. The minimum cost is<\/span><b> 5,000 Baht <\/b><span style=\"font-weight: 400;\">and is capped at <\/span><b>250,000 Baht<\/b><span style=\"font-weight: 400;\">.\u00a0<\/span><\/p>\n<h4><b>Step 5: Tax and Value added Tax (VAT) Registration<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">A Tax ID number and VAT certificate must be obtained for businesses that are required to pay an income tax. The registration and certification can be done at the Central Filing Office of the Revenue Department within 60 days of registering the company. The cost is around <\/span><b>20 Baht<\/b><span style=\"font-weight: 400;\"> for both the number and certification.\u00a0<\/span><\/p>\n<h5><b>Accounting<\/b><\/h5>\n<p><span style=\"font-weight: 400;\">The Thai Financial Reporting Standards (TFRS) governs the accounting standards that all Thai registered companies must comply with. Company accounts must be kept at the place of business and be regularly updated. The auditing for the company must also be done by a qualified Certified Public Accountant of Thailand.<\/span><\/p>\n<h5><b>Corporate Tax Requirements<\/b><\/h5>\n<p><span style=\"font-weight: 400;\">In general, the Corporate Income Tax rate is 20% for all Thai registered companies.
