Read on for details on the United Kingdom\u2019s requirements, procedures, and the estimated timeline to register a company.\u00a0<\/span><\/p>\r\n<h4><b>Minimum Setup Requirements to Register a Company in <\/b><b>the United Kingdom<\/b><\/h4>\r\n<p><span style=\"font-weight: 400;\">In the UK, there are 2 common types of companies &#8211; private and public companies.<\/span><\/p>\r\n<h5><strong>For private companies, the requirements are:<\/strong><\/h5>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Director &#8211; 1, at least 1 director must be an individual director<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Shareholder &#8211; 1\u00a0<\/span><\/li>\r\n<\/ul>\r\n<h5><strong>For public companies, the requirements are:<\/strong><\/h5>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Directors &#8211; 2, at least 1 director must be an individual director<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company Secretary &#8211; 1<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Shareholder &#8211; 1\u00a0<\/span><\/li>\r\n<\/ul>\r\n<p><span style=\"font-weight: 400;\">The legal requirements in the UK are very strict for directors and company secretaries.<\/span><\/p>\r\n<h5><span style=\"font-weight: 400;\">To be a director, you<strong> cannot<\/strong> be:<\/span><\/h5>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Disqualified from acting as a company director<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">An undischarged bankrupt<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Under the age of 16<\/span><\/li>\r\n<\/ul>\r\n<p><span style=\"font-weight: 400;\">To be a qualified company secretary, you must be:<\/span><\/p>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">From the office of secretary of a public company for at least 3 years of the 5 years before your appointment to the new company<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A barrister\/ advocate\/ solicitor called or admitted in any part of the UK<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A member of any of the following professional bodies<\/span>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Institute of Chartered Accountants in England and Wales<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Institute of Chartered Accountants of Scotland<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Institute of Chartered Accountants in Ireland<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Institute of Chartered Secretaries and Administrators<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Association of Chartered Certified Accountants<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Chartered Institute of Management Accountants<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Chartered Institute of Public Finance and Accountancy\u00a0<\/span><\/li>\r\n<\/ul>\r\n<\/li>\r\n<\/ul>\r\n<h4><b>Registration Timeline\u00a0<\/b><\/h4>\r\n<p><span style=\"font-weight: 400;\">In the UK, the incorporation process can be done on 3 different platforms. For each platform, the timing differs.<\/span><\/p>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Electronic Software Filing<\/span><span style=\"font-weight: 400;\"><br \/>\r\n<\/span><span style=\"font-weight: 400;\">Done usually be external services that have their own websites to help with incorporation. The standard fee for this platform is <\/span><b>\u00a310<\/b><span style=\"font-weight: 400;\"> and usually takes <\/span><b>24 hours.<\/b><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Web Services<\/span><span style=\"font-weight: 400;\"><br \/>\r\n<\/span><span style=\"font-weight: 400;\">The easiest online, one-stop platform to register your company with Companies House and HM Revenue and Customs (HMRC). The standard fee for this platform is <\/span><b>\u00a312<\/b><span style=\"font-weight: 400;\"> and usually takes <\/span><b>24 hours.<\/b><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Paper Filing<\/span><span style=\"font-weight: 400;\"><br \/>\r\n<\/span><span style=\"font-weight: 400;\">The only physical platform to incorporate your company. The documents must be submitted to the correct offices and therefore, will take a longer time. The standard fee for this platform is <\/span><b>\u00a340<\/b><span style=\"font-weight: 400;\"> and usually takes <\/span><b>5 working days.<\/b><\/li>\r\n<\/ul>\r\n<h4><b>Step 1: Submit relevant forms\u00a0\u00a0<\/b><\/h4>\r\n<p><span style=\"font-weight: 400;\">Unlike other countries, there is no reservation of the proposed company name for the UK&#8217;s incorporation. The proposed company name must be submitted along with all the relevant documents needed. However, you can check if the proposed name has not been registered <\/span><a href=\"https:\/\/beta.companieshouse.gov.uk\/company-name-availability?_ga=2.61778852.966089184.1590633989-608122372.1588561664\"><span style=\"font-weight: 400;\">here<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/p>\r\n<p><span style=\"font-weight: 400;\">The documents that need to be submitted are:\u00a0<\/span><\/p>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Form IN01<\/span><span style=\"font-weight: 400;\"><br \/>\r\n<\/span><span style=\"font-weight: 400;\">This application form requires details like:<\/span>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Proposed company name<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Official place of business address\u00a0<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Type of company structure (private\/public\/unlimited)<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Details on the type of business activities\u00a0<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Choice of Articles of Association\u00a0<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Details of proposed director\/s and company secretary (if needed)<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Details of people with significant control (PSC)\u00a0<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Residential addresses of director\/s<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Statement of capital and initial shareholdings<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Statement of compliance\/ guarantee<\/span><\/li>\r\n<\/ul>\r\n<\/li>\r\n\t<li>Memorandum of Association\r\n\r\n<ul>\r\n\t<li>The required contents of the Memorandum of Association can be found in the revised Companies Regulations 2008. It should not contain any rules that go against the law. It can be adopted\/ taken wholly from the model articles <\/span><a href=\"http:\/\/www.legislation.gov.uk\/uksi\/2008\/3229\/contents\/made\"><span style=\"font-weight: 400;\">here<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/li>\r\n<\/ul>\r\n<h5><span style=\"font-weight: 400;\">After all the above documents are submitted with valid information, the government will issue a Certificate of Incorporation that officially incorporates your company.<\/span><\/h5>\r\n<h4><b>Step 2: Open the company bank account<\/b><\/h4>\r\n<p><span style=\"font-weight: 400;\">The next step after incorporation is to set up a company bank account. Before application, it is important to have all the needed documents on standby to make the process fast and smooth.\u00a0<\/span><\/p>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Proof of ID<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Proof of personal address<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Full business official address<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Contact details of the business<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Companies House registration number<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Estimated annual turnover<\/span><\/li>\r\n<\/ul>\r\n<h4><span style=\"font-weight: 400;\">\u00a0<\/span><b>Step 3: Register your company for Corporation Tax<\/b><\/h4>\r\n<p><span style=\"font-weight: 400;\">Most companies are required to register for Corporation Tax and PAYE within 3 months of the incorporation of business. You will require the following:<\/span><\/p>\r\n<ul>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company\u2019s Unique Taxpayer Reference (UTR)\u00a0<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company\u2019s registration number<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The commencement date of business\u00a0<\/span><\/li>\r\n\t<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The date the annual accounts are made up to\u00a0<\/span><\/li>\r\n<\/ul>\r\n<p><span style=\"font-weight: 400;\">Once the following are submitted to the HMRC, a deadline to pay corporation tax will be given. Additionally, all companies must file a Company Tax Return.\u00a0<\/span><\/p>\r\n<h5><b>Accounting<\/b><\/h5>\r\n<p><span style=\"font-weight: 400;\">The accounting year must not be longer than 12 months and it usually follows the financial year. For new incorporated companies, the HM Revenue and Customs (HMRC) will issue a letter with the dates for the accounting period.<\/span><\/p>\r\n<p><span style=\"font-weight: 400;\">In the event that the accounts cover more than 12 months, you must file for 2 returns.<\/span><b><\/b><\/p>\r\n<h5><b>Corporate Tax Requirements<\/b><\/h5>\r\n<p><span style=\"font-weight: 400;\">Once you have registered for Corporate Tax, you must keep all accounting records and prepare a Company Tax Return. The deadline to pay the tax (or to declare nothing to pay) is 9 months and 1 day after the end of the accounting period. The average corporation tax payable is <\/span><b>19%<\/b><span style=\"font-weight: 400;\">.<\/span><\/p>\r\n<h5><b>Annual General Meeting<\/b><\/h5>\r\n<p><span style=\"font-weight: 400;\">For public companies, the AGM must be held annually within the period of 6 months beginning with the date following its accounting reference date.<\/span><\/p>\r\n<p><span style=\"font-weight: 400;\">It
