{"id":28278,"date":"2019-05-17T12:45:05","date_gmt":"2019-05-17T04:45:05","guid":{"rendered":"https:\/\/zegal.com\/?p=28278"},"modified":"2023-03-23T12:20:30","modified_gmt":"2023-03-23T04:20:30","slug":"common-seal-australia","status":"publish","type":"post","link":"https:\/\/zegal.com\/en-nz\/blog\/post\/common-seal-australia\/","title":{"rendered":"What is a Common Seal?"},"content":{"rendered":"<h2><span class=\"ez-toc-section\" id=\"What_is_common_seal\"><\/span><strong><span style=\"font-size: 18pt;\">What is common seal ?<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">A common seal, also called company seal or corporate seal is physical illustration emboss with company name and Business number of association or business.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Common seal was historically used to seal contracts, deeds and share certificates, to make them valid.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">A company in Australia may have Common seal with company\u2019s name and <a href=\"https:\/\/asic.gov.au\/for-business\/registering-a-company\/steps-to-register-a-company\/australian-company-numbers\/\">Australia company number (ACN)<\/a>.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Execution_of_Common_seal_in_Australia\"><\/span><strong><span style=\"font-size: 18pt;\">Execution of Common seal in Australia<\/span> <\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">The Act does not prescribe how documents must be executed by companies without a seal. However, Section 127(1) of the Act provides that a company may execute a document without using a common seal if the document is signed by:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">two directors of the company;<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">a director and secretary of the company; and<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">for a <\/span><span style=\"font-weight: 400;\">proprietary company<\/span><span style=\"font-weight: 400;\"> that has a sole director who is also the sole company secretary \u2013 that director.<\/span><\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Common_uses_of_company_seals_include\"><\/span><strong><span style=\"font-size: 18pt;\">Common uses of company seals include<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>Significant contracts (i.e. not the purchase of a roll of stamps)<\/li>\n<li>Real (landed) property transfers and land contracts<\/li>\n<li>Loan documents, mortgages and guarantees<\/li>\n<li>Occasions where its use is required by a third party<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Is_common_seal_or_company_seal_mandatory_in_Australia\"><\/span><strong><span style=\"font-size: 18pt;\">Is common seal or company seal mandatory in Australia?<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">Prior 1988, common seals were mandatory in Australia, Only documents\/ deeds with common seal were considered valid. So in a sense it was compulsory then. The Company law Review ACT 1988 abolished common seal.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Regardless, companies today still use common seal as it give more legitimacy to document for people unfamiliar with the Australian way of document execution.<\/span><\/p>\n<p>Read: <a href=\"https:\/\/zegal.com\/blog\/post\/entrepreneurs-guide-setting-business-australia\/\">Incorporating company in Australia&nbsp;&nbsp;<\/a><\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_Federal_Registration_of_legislation_says_about_Company_seal\"><\/span><strong><span style=\"font-size: 18pt;\">What Federal Registration of legislation says about Company seal ?<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">Company may have common seal<\/span><\/p>\n<p><span style=\"font-weight: 400;\"> &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">(1) &nbsp;A company may have a common seal. If a company does have a common seal, the company must set out on it:<\/span><\/p>\n<p><span style=\"font-weight: 400;\"> &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">(a) &nbsp;for a company that has its ACN in its name\u2014the company\u2019s name; or<\/span><\/p>\n<p><span style=\"font-weight: 400;\"> &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">(b) &nbsp;otherwise\u2014the company\u2019s name and either:<\/span><\/p>\n<p><span style=\"font-weight: 400;\"> &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">(i) &nbsp;the expression \u201cAustralian Company Number\u201d and the company\u2019s ACN; or<\/span><\/p>\n<p><span style=\"font-weight: 400;\"> &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">(ii) &nbsp;if the last 9 digits of the company\u2019s ABN are the same, and in the same order, as the last 9 digits of its ACN\u2014the expression \u201cAustralian Business Number\u201d and the company\u2019s ABN.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Note 1: &nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">A company may make contracts and execute documents without using a seal (see sections 126 and 127).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Note 2: &nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">For abbreviations that can be used on a seal, see section 149.<\/span><\/p>\n<p><span style=\"font-weight: 400;\"> &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<\/span> <span style=\"font-weight: 400;\">(2) &nbsp;A company may have a duplicate common seal.
