In this case, a <\/span><span id=\"E615\"><a href=\"https:\/\/zegal.com\/legal-documents\/\"><strong>Management Rights Letter<\/strong><\/a> <\/span><span id=\"E616\">lists out the <\/span><span id=\"E617\">management <\/span><span id=\"E618\">rights and restrictions of these investors.<\/span><\/p>\n<h4 id=\"E620\" class=\"qowt-li-4_0 qowt-list qowt-stl-ListParagraph\">Transfer of Ownership<\/h4>\n<p id=\"E622\"><span id=\"E623\">If the shareholders of the startup decide to transfer the ownership of their shares as part of a<\/span><span id=\"E624\">n exit or <\/span><span id=\"E625\">buyout, they can do so via an <\/span><a href=\"https:\/\/zegal.com\/instrument-of-transfer\/\"><span id=\"E626\"><strong>Instrument of Transfer<\/strong><\/span><\/a><span id=\"E627\">\u00a0and a <\/span><strong><a href=\"https:\/\/zegal.com\/contract-notes\/\"><span id=\"E628\">Contract Note<\/span><\/a><\/strong><span id=\"E629\">. The former transfers legal ownership, while the latter transfers beneficial ownership<\/span><span id=\"E630\">. <\/span><span id=\"E631\">Please note that if the <a href=\"https:\/\/zegal.com\/shareholders-resolution-to-alter-articles-of-association\/\">Model Articles of Association<\/a> in Hong Kong are adopted without any alterations, according to Article 2(2) of the Model Articles, the directors of a company are entitled to refuse the transfer.<\/span><span id=\"E632\"> <\/span><span id=\"E633\">According to s.151(2) of the Companies Ordinance, a <\/span><span id=\"E634\">Notice of <\/span><span id=\"E635\">Refusal<\/span><span id=\"E636\"> must be sent to both the <\/span><span id=\"E637\">shareholder<\/span><span id=\"E638\"> and <\/span><span id=\"E639\">buyer<\/span><span id=\"E640\"> within two months after the application to transfer the shares is lodged with the startup.<\/span><span id=\"E641\"> If the shareholder\/buyer asks for reasons for refusing the transfer, the director can either explain their decision, or approve of the transfer within 28 days<\/span><span id=\"E642\">, per s.151(4) of the Companies Ordinance.<\/span><\/p>\n<p id=\"E644\"><span id=\"E645\">If the transfer is approved, a <\/span><a href=\"https:\/\/zegal.com\/deed-of-adherence\/\"><span id=\"E646\"><strong>Deed of Adherence<\/strong><\/span><\/a><span id=\"E647\"> is needed to <\/span><span id=\"E648\">replace the original shareholder<\/span><span id=\"E649\"> <\/span><span id=\"E650\">in the founding <\/span><span id=\"E651\">Shareholder Agreement<\/span><span id=\"E652\"> with <\/span><span id=\"E653\">the buyer of the shares<\/span><span id=\"E654\">, such that the buyer becomes a party to the Agreement. If the transfer is part of a buyout, the<\/span><span id=\"E655\"> outgoing shareholder(s) <\/span><span id=\"E656\">should sign a <a href=\"https:\/\/zegal.com\/deed-of-novation\/\"><strong>Deed of Novation<\/strong><\/a><\/span><span id=\"E659\">\u00a0with the <\/span><span id=\"E660\">new<\/span><span id=\"E661\"> owner(s)<\/span><span id=\"E662\">, in order for the former<\/span><span id=\"E663\"> to transfer the contractual rights and obligations owed<\/span><span id=\"E664\"> <\/span><span id=\"E665\">to a third party to the latter.
