It\u2019s a common mechanism to incentivise employees.<\/p>\n\n\n\n<p>Importantly, a share option is not a share. Instead, it is a right to acquire shares when it is exercised. Share options are usually \u201cvested\u201d over time or upon fulfilling certain conditions (e.g. performance targets). Basically, this means that the option holder becomes able to exercise the right and acquire shares in the company.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left\" id=\"h-steps-to-create-employee-share-option-plan\"><span class=\"ez-toc-section\" id=\"Steps_to_create_Employee_Share_Option_Plan\"><\/span>Steps to create Employee Share Option Plan<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-step-1-draft-an-employee-share-option-plan\"><span class=\"ez-toc-section\" id=\"Step_1_Draft_an_Employee_Share_Option_Plan\"><\/span>Step 1. Draft an Employee Share Option Plan<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The Employee Share Option Plan establishes the general rules under which the board will grant the options.<\/p>\n\n\n\n<p>An <a href=\"https:\/\/zegal.com\/blog\/post\/introduction-to-employee-share-option-plans-esop\/\" class=\"ek-link\">ESOP<\/a> typically sets out the purpose of the plan (e.g. to incentivize employees). Also, who will be eligible to participate in the plan (e.g. employees of all levels or a certain level or above). And, most importantly, the overall size of the pool of shares that the option holders will be able to buy.<\/p>\n\n\n\n<p>The Employee Share Option Plan also generally sets out how to grant an option. And, how to exercise an option granted. Adopt an Employee Share Option plan<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The Employee Share Option Plan must be formally adopted by a&nbsp;<a href=\"https:\/\/zegal.com\/en-sg\/shareholders-resolution-to-adopt-share-option-plan\/\">Shareholders\u2019 Resolution to Adopt Share Option Plan<\/a>&nbsp;or a&nbsp;Directors\u2019 Resolution to Adopt Share Option Plan.<\/p>\n\n\n\n<p>Essentially, the Employee Share Option Plan should specify the maximum number of shares they can issue under that plan. The company can change this number later by amending the stock plan with approval of the board and stockholders. The company must reserve the shares for allocation under the plan. And it must have enough shares available for issuance in order to do so. Grant employee share options<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Basically, following the adoption of the Share Option Plan, the company may now grant options to individuals by issuing&nbsp;<a href=\"https:\/\/zegal.com\/en-sg\/option-certificate\/\"><strong>Option Certificates<\/strong><\/a>. The company must legally to issue an \u201cOption Certificate\u201d, which sets out the terms and conditions of the ESOP.<\/p>\n\n\n\n<p>Additionally, it is also customary for the company to issue a&nbsp;<a href=\"https:\/\/zegal.com\/en-sg\/stock-option-award-letter\/\">Letter for Grant of Option<\/a>&nbsp;as a cover letter.
